O Grupo Mineiro de Hospitais Mater Dei venderá a totalidade da sua participação (70%) do capital social do Complexo de Saúde Norte (CSN), controladora integral dos negócios do Hospital Porto Dias, em Belém, no Pará. Segundo fato relevante divulgado, o preço de aquisição, a ser pago na data de fechamento da operação, será de R$ 400 milhões em dinheiro, R$ 10 milhões em dividendos a serem recebidos, acrescidos do retorno de 27.272.728 ações da própria companhia.
“Adicionalmente a esses valores relativos à venda, durante o período em que a CSN foi controlada, a companhia teve um efeito positivo de caixa de aproximadamente R$180 milhões, entre dividendos e aproveitamento fiscal pela incorporação gerado pela compra”, destacou a companhia no documento. Segundo o Mater Dei, o objetivo é reforçar a disciplina financeira da companhia, ao revisar o portfólio e fortalecer a posição de caixa. A operação ainda depende de condições precedentes, incluindo aval do Cade (Conselho Administrativo de Defesa Econômica), e a aprovação dos acionistas em assembleia.
“O valor representa um pouco mais da metade dos R$ 800 milhões pagos ao Porto Dias em 2021. Segundo o CEO da empresa, a devolução do hospital é motivada pela pressão das operadoras, que passaram a exigir prazos de recebimento maiores”, aponta a Genial Investimentos. Também em repercussão, o Itaú BBA avaliou que enxerga “melhores tendências de fluxo de caixa à frente, mas com uma grande mudança na trajetória de expansão”. Além disso, não vê prêmio substancial na avaliação implícita. O banco recorda os desafios do setor hospitalar diante de pressão da maioria dos planos de saúde, e assim, a empresa teria um balanço “mais confortável para os projetos e outras potenciais aquisições”.
