A Polícia Federal (PF) desencadeou Operação Disclosure, uma ofensiva contra um esquema de fraudes contábeis na Lojas Americanas. Investigações revelam que os altos executivos da varejista, incluindo o ex-CEO Miguel Gutierrez e a ex-diretora Anna Christina Ramos Saicali, manipulavam os resultados financeiros da empresa para assegurar lucros e bônus inflacionados, enganando investidores e acionistas.
Documentos e planilhas eram falsificados, dívidas contraídas com os bancos eram escondidas do balanço e créditos inexistentes eram criados e lançados na contabilidade da companhia”, detalhou o órgão.
O esquema, considerado a maior fraude da história do mercado financeiro brasileiro, resultou em prejuízos estimados em R$ 25,3 bilhões. As investigações revelaram que os diretores da Americanas venderam R$ 258 milhões em ações da empresa antes da revelação pública do rombo contábil, em 2023. A PF descobriu ainda que Gutierrez tentou proteger seu patrimônio transferindo imóveis para familiares e enviando dinheiro para paraísos fiscais.
Os prejuízos resultantes dessas práticas impactaram severamente os acionistas, especialmente os minoritários, que negociavam ações baseadas em informações fraudulentas, inflacionando seus preços.
