O ator Francisco Cuoco (90 anos de idade) e seu filho Diogo Couco foram condenados a pagar uma dívida trabalhista de cerca de R$ 600 mil a um funcionário da Eat Alimentos, empresa na qual ambos foram sócios até 2016. No processo, o ex-funcionário alega que trabalhou por cerca de 6 anos, de 2005 a 2011, e abriu o processo pelo atraso para assinar a carteira, não pagamento de horas extras, atraso no pagamento de salários e pagamento das férias.
O artista, que já foi galã global, e o filho alegaram que não eram mais sócios da empresa, mas a Justiça considerou que eles ainda faziam parte do quadro societário quando o reclamante trabalhou na empresa. Mas afinal, ex-sócio de empresa pode responder por dívidas trabalhistas? Advogados consultados pelo InfoMoney explica os riscos e cuidados.
A advogada Daniela Poli Vlavianos, sócia do escritório Poli Advogados & Associados, alerta que, mesmo não sendo mais sócio da empresa, você pode ser chamado a responder por processos trabalhistas em situações onde as obrigações foram contraídas durante sua participação na sociedade ou em casos de desconsideração da personalidade jurídica e fraude.
“A condenação de um ex-sócio em ação trabalhista, como no caso de Francisco Cuoco, pode ocorrer em diversas situações previstas pela legislação, especialmente relacionadas à responsabilização por débitos trabalhistas. Mesmo que o ex-sócio tenha se retirado da sociedade, ele pode continuar sendo responsabilizado por essas dívidas em circunstâncias específicas, com base na lei e na jurisprudência”, alerta a advogada.
Marcelle Lerbak Gomes e Roberta Dantas Ribeiro, sócias do escritório Chalfin, Goldberg, Vainboim Advogados, salienta que as alterações contratuais não alterarão os direitos adquiridos por seus empregados.
Daniela explica que uma das principais razões para essa responsabilização está no fato de que o sócio retirante responde, de forma subsidiária, pelas obrigações sociais da empresa, desde que essas obriga
“Isso significa que, se a relação de trabalho, ou o fato gerador da dívida, ocorreu enquanto o sócio ainda fazia parte da empresa, ele poderá ser chamado a responder por essas obrigações, mesmo que tenha deixado a sociedade. A legislação visa proteger o trabalhador, já que as suas remunerações e direitos têm caráter alimentar, devendo ser rigorosamente cumpridos”, afirma Daniela.
Outra possibilidade de responsabilização, explica ela, é através da aplicação da Teoria da Desconsideração da Personalidade Jurídica, prevista no artigo 50 do Código Civil. Esse princípio pode ser utilizado em ações trabalhistas quando há indícios de abuso da personalidade jurídica, como desvio de finalidade ou confusão patrimonial. Nesse caso, a Justiça pode desconsiderar a separação entre o patrimônio da empresa e dos sócios, alcançando, inclusive, os bens pessoais dos ex-sócios, quando verificado que a empresa não possui patrimônio suficiente para pagar suas dívidas trabalhistas.
A CLT também admite que todos aqueles que participaram da atividade econômica da empresa possam ser responsabilizados por dívidas trabalhistas, o que inclui ex-sócios. E a Súmula 371 do Tribunal Superior do Trabalho (TST) consolida esse entendimento, estabelecendo que o sócio retirante responde subsidiariamente pelas obrigações trabalhistas da empresa referentes ao período em que ele fazia parte do quadro social.
